There are no restrictions on the use of foreigners as shareholders or directors at a Hong Kong company but, under the Hong Kong Companies Ordinance, an entity must appoint a company secretary who is a resident in Hong Kong. The company must also keep its statutory books together with the minute book at its registered office. Breaches of the Hong Kong Companies Ordinance will expose the relevant entities to prosecution and punishment.
