General Legal Counsel / Legal Counsel

Our client is a famous financial institution in HK!

Key Responsibilities

1. Participate in building the overall legal framework of the market infrastructure (exchange platform), including the design, drafting and implementation of exchange business rules, trading rules, and participant institution regimes;
2. Participate in the legal structuring, compliance analysis and business implementation support of innovative financial asset products (such as RBOs, SPVs, SPACs, ETFs, etc.);
3. Provide legal support for cross-border business, coordinating regulatory communications and compliance matters relating to Macao, Hong Kong and other overseas markets;
4. Draft, review and continuously iterate core legal documents, business contract templates and business guidelines;
5. Liaise with and manage external law firms, working with them to deliver legal analysis memoranda and legal opinions;
6. Collaborate closely with the business, asset management, finance and technology teams to support the exploration and implementation of new business initiatives from a legal perspective.

Qualifications

1. 15 years of legal work experience for General Legal Counsel; 5–10 years of legal work experience for Legal Counsel;
2. U.S. educational or professional background (U.S. law degree, or work experience at a U.S. law firm / U.S.-affiliated institution);
3. Transactional (non-litigation) practice experience; experience in capital markets, financial institutions, structured products or financial regulatory compliance is preferred;
4. Excellent command of both English and Chinese as working languages; fluent Mandarin; Cantonese is a plus;
5. U.S. bar admission or admission in another common law jurisdiction is preferred;
6. Both law firm and in-house backgrounds are acceptable.

Bonus Qualifications

1. Experience with exchanges, financial market infrastructures or financial regulators;
2. Experience in cross-border structured finance / asset securitization (ABS/SPV, etc.);
3. Passion for fintech innovation, strong learning agility and entrepreneurial spirit, with the ability to drive projects forward in a fast-moving environment.
