Legal Counsel Role at a Hong Kong-Based Private Equity Firm
Description: This role involves providing comprehensive legal support for the formation and structuring of private equity funds. The Fund Formation Counsel will work closely with the investment team to ensure that all fund-related activities comply with local and international regulations. Budget is around 50-70k HKD base with descritionary bonus.
Job Responsibilities:
- Fund Formation and Structuring: Draft and review legal documents related to the formation and structuring of private equity funds, including limited partnership agreements, offering memoranda, and subscription agreements.
- Regulatory Compliance: Ensure compliance with Hong Kong's regulatory requirements, including those set by the Securities and Futures Commission (SFC), and stay updated on relevant international regulatory frameworks such as FATF.
- Due Diligence: Conduct thorough due diligence on potential investments to identify and mitigate legal risks.
- Investor Relations: Manage legal aspects of investor communications, including drafting side letters and negotiating terms with prospective investors.
- Risk Management: Advise on legal and regulatory risks associated with fund operations and develop strategies to mitigate these risks.
- Internal Coordination: Collaborate with internal teams, including compliance, finance, and operations, to ensure alignment with the firm's policies and procedures.
- Training and Development: Provide training to the investment team on legal and regulatory matters related to fund formation and management.
Requirements:
- Experience: Working experience in fund formation and structuring, preferably within the private equity sector. Experience with Hong Kong regulatory bodies such as the SFC is highly desirable.
- Education: Bachelor's degree in Law from a reputable institution. Legal Qualification is ideal but not a must.
- Skills: Strong attention to detail, excellent organizational and analytical skills, and the ability to communicate complex legal concepts clearly. Proficiency in both spoken and written English and Mandarin is essential.
- Knowledge: Familiarity with Hong Kong's Listing Rules, guidance letters, and Takeover Codes.
