The Corporate Compliance Manager is a key member of the executive team, responsible for ensuring corporate governance and compliance of the Group and family companies. This role will be a key advisor to the board of directors and senior management, overseeing legal and regulatory compliance, corporate governance practices and company administration.
- Work independently to engage in a full set of company secretarial duties for both Hong Kong and offshore companies, including preparing minutes and resolutions, handling corporate documentation, and liaising with auditors, bankers, and other professional advisors and government authorities
- Attend to the formalities of board meetings including the preparation of board packs and the minutes of meetings
- Ensure compliance of all statutory matters pertaining to all Hong Kong and offshore companies
- Produce quarterly compliance reporting for all Group companies, and coordinating amongst internal and external parties as required
- Coordinating and liaising with External / Third Party Company Secretaries as required for select jurisdictions
- Coordinating and liaising with Finance & Accounting Division as required
- Liaison with lawyers, notary public on legalization of documents
- Other job related duties as assigned
Education / experience / technical skills required:
- Graduate / Associate of HKICS
- At least 5 years of relevant work experience at large professional firms or for an in-house role
- Solid experience in the co-ordination and hosting of board meetings involving multi-locations and several parties including the preparation of board minutes/resolutions
- Sound knowledge of the New Companies Ordinance
- Proficiency in Microsoft Word and Excel
- Able to read and understand legal documents
