Your new company My client is one of the earliest investment banks established in the region and is a major player in the overseas markets. Headquartered in Hong Kong, they offer a comprehensive range of services including share issuance, mergers and acquisitions, bond issuance, private banking, asset management, and more.
Your new role The Head of Legal is a senior leadership role responsible for overseeing all legal, regulatory, and compliance matters within the Investment Banking division. The successful candidate will serve as a strategic advisor to senior management, ensure adherence to legal frameworks, mitigate risks, and drive legal strategies aligned with the business's objectives.
Key Responsibilities:
- Lead and manage the legal team supporting the Investment Banking division.
- Provides strategic legal counsel on complex financial transactions, including mergers & acquisitions (M&A), equity and debt offerings, and other corporate finance activities.
- Ensure compliance with global and regional regulatory requirements, such as [e.g., SEC, HKMA, FCA, etc.], and stay ahead of legal developments affecting the banking industry.
- Develop and implement effective legal risk management frameworks and policies.
- Draft, review, and negotiate a wide range of contracts, agreements, and legal documents related to investment banking operations.
- Collaborate with other departments, including Compliance, Risk, and Finance, to address cross-functional challenges.
- Represent the company in legal proceedings, arbitrations, and regulatory engagements when necessary.
- Train and mentor legal staff and other employees on legal and regulatory best practices.
- Manage the department's budget, external counsel, and other legal resources efficiently.
What you'll need to succeed - Minimum 15 years PQE and admission to practice law in Hong Kong
- Deep understanding of securities laws, corporate governance, M&A transactions, and financial regulations.
- Strong leadership and managerial skills, with the ability to handle high-pressure situations and make strategic decisions.
- Exceptional negotiation, communication, and analytical skills.
- Demonstrated ability to work collaboratively across diverse teams and jurisdictions.
