Key Responsibilities

• Assist in the preparation, review, and maintenance of fund formation documents, including private placement memoranda (PPMs), limited partnership agreements (LPAs), subscription agreements, and investor side letters

• Support client onboarding processes, including KYC/AML documentation, regulatory filings, and liaising with compliance teams

• Coordinate fund launches and closings, track investor documentation, and maintain fund records and closing lists

• Draft corporate and regulatory filings with the SFC, Cayman Islands Monetary Authority (CIMA), and other relevant jurisdictions

• Assist in preparing board resolutions, corporate authorisations, and ancillary documentation for fund vehicles and management entities

• Liaise with clients, external service providers, and offshore counsel to coordinate documentation and timelines

• Support lawyers in due diligence, regulatory updates, and legal research related to funds and securities laws in Hong Kong and offshore jurisdictions

• Maintain internal precedents, checklists, and compliance databases

 

Requirements

• Bachelors degree in Law, Finance, or related field; legal studies diploma or paralegal certificate is a plus

• 2–4 years of relevant experience as a paralegal in an international law firm, fund administrator, or asset management company

• Strong knowledge of fund structures (open- and closed-ended), fund documentation, and common offshore jurisdictions (e.g., Cayman, BVI)

• Familiarity with SFC fund regulations, AML/KYC requirements, and cross-border investment considerations

• Excellent drafting, communication, and organisational skills

• Proficient in Microsoft Office and document management systems

• Fluent in English; proficiency in Cantonese or Mandarin is an advantage
