Responsibilities:
- Provide sound, practical professional advice, particularly in the areas of insurance, reinsurance, data security, privacy, contracts and company law, to help manage legal and regulatory risks whilst facilitating the business of the Company
- Work closely with and provide guidance to senior management, business teams and other corporate functions to ensure compliance with applicable laws and regulations and guidelines of relevant regulators, including but not limited to the requirements of the Hong Kong Insurance Ordinance, the Hong Kong Companies Ordinance and guidelines of the Hong Kong Insurance Authority
- Be alert to potential implications under the laws and regulations of the PRC and other countries of transactions or other actions that the Company may undertake and, in conjunction with internal or external experts in the relevant area, assess the risks involved and propose workable solutions or alternatives
- Collaborate with business teams and other corporate functions in developing, implementing and administering effective internal policies and procedures, manuals and guidelines
- Draft, review and negotiate contractual documentation, including but not limited to reinsurance treaties, general commercial agreements and other contracts with suppliers, service providers and business partners as required
- Review or, as required, draft key correspondences with regulators
- Provide support and solutions on company secretarial matters, and in relation to board meetings and shareholders meetings
Requirements:
- Minimum 5 years PQE (qualified in Hong Kong or a comparable common law jurisdiction), with a minimum of 7 years relevant working experience in insurance or the financial sector generally. Candidates with higher seniority will also be considered favourably if the other requirements below are satisfied
- Sound knowledge in contracts, tort, equity and company law is required. Knowledge in direct insurance and reinsurance, data security, privacy and a general understanding of the business environment and regulations in the Mainland China would be highly valued
- Solid experience in drafting and negotiating commercial contracts. Any specific experience with insurance and reinsurance contracts would be highly valued
- Experience in dealing with the Insurance Authority and/or other financial services regulators in Hong Kong, such as the Securities and Futures Commission or the Hong Kong Monetary Authority. Experience in investment and financing would be valued although not strictly required
- Adequate professional proficiency in spoken and written English; fluency in communicating with Mandarin and written Chinese. Excellent problem solving, analytical and organizational skills. Sound interpersonal and communication skills
- A team player who is willing to adapt to and embrace changes in a fast-paced environment; Ability to balance risk control with business objectives and work to tight deadlines and pressure; Has had exposure to a multi-cultural work environment. Proactive approach, ability to handle matters independently and escalate matters sensibly.
