As the Head for the APAC Technology & Data Legal practice group of Morgan Stanley, you are responsible for leading and managing a dynamic and collegial team of 3/4 in-house lawyers based in Hong Kong, Japan and China, taking innovative approaches to solve complex legal challenges in a highly-regulated environment; You are a proactive and collaborative senior advisor, who assesses legal risks identified by you and your team, as you work directly with colleagues to support the Firm on a wide variety of technology and data initiatives; manage and promote a team that thrives in a fast-paced environment, build positive relationships with diplomacy and provide insightful counsel; promote a team that is comfortable working with global colleagues and clients to handle complex, cross-border matters; and support and encourage your team to be hard-working creative team-players, who are open to new ideas and are constantly looking to improve through your leadership.

Primary Responsibilities

To serve as a Head of the APAC Technology & Data Legal practice group, reporting into the International Head of Technology & Data Legal, and you will be responsible for advising on technology, data, privacy, information management, intellectual property, cybersecurity, and social media matters, for all Morgan Stanley entities and business units (BUs) in APAC,

Specifically, you will have managerial oversight of the team in relation to the following:
  • Serve as a trusted advisor for the Morgan Stanley technology department, on a wide variety of technology-related laws and requirements, such as sourcing/outsourcing/offshoring, artificial intelligence, cloud, intellectual property, operational resiliency and other emerging technologies and their application to strategic projects.
  • Review, draft, negotiate and close a broad range of technology, market data, professional services and general services agreements, including but not limited to technology outsourcing, hardware and software purchases, SaaS and other cloud transactions, data centres, maintenance and support arrangements, design and construction agreements, space and facilities agreements, and market data, business information services and index licence agreements.
  • Work closely with compliance, risk and business partners on identifying and interpreting legal and regulatory changes across technology, data, privacy, cybersecurity, information management, outsourcing, and operational resilience areas, advising on practical impact to the Firm, and reflecting change through implementation and remediation programs, including updating and/or drafting relevant contract templates, policies, frameworks, standards and programs.
  • Assess and handle cyber, operational system failure, data breach and fraud incidents and reporting.
  • Coordinate trademark and domain name registrations, patent applications, advise on brand infringement matters, and handle general IP queries from BUs.
  • Support BUs on strategic projects that involve technology and data aspects.
  • Advocate on technology, data, privacy, cyber, outsourcing, operational resiliency regulatory consultations.
  • Conduct legal research as necessary.
  • Support on ad-hoc regulatory exams, inspections and inquiries.
  • Develop contract templates, firm policies and procedures. Requirements
Skills and Qualities
  • Qualified lawyer in any Commonwealth jurisdiction.
  • Minimum 10 years of relevant, post-qualification experience, preferably at large/complex financial institution, technology company, or law firm.
  • Excellent written and spoken English. Spoken Cantonese/Mandarin and written Chinese is an advantage.
  • Knowledge and experience in technology legal advisory, data, privacy, intellectual property, cybersecurity and/or commercial contracts is an advantage.
  • A leader, responsible, and diligent.
  • Highly organised and attention to detail.
  • Ability to work under pressure and handle a fast-paced environment.
  • Strong time management skills, with the ability to manage multiple projects and priorities.
  • Strong communication and inter-personal skills, with the ability to distill and communicate information and ideas in a clear and succinct manner.
  • Ability to work independently, form opinions and make decisions, while being a team player and collaborate well with others.
  • Possess sound business judgement and ability to assess legal risk, while providing practical advice.
  • Ability to interact and effectively advise senior members of the Firm and BUs.
  • Ability to anticipate ahead of time and escalate issues as appropriate.
