Core Responsibilities:
1. Corporate Secretarial Leadership
- Lead the corporate secretarial function for the Hong Kong Branch.
- Ensure compliance with corporate governance, regulatory requirements, and statutory obligations.
- Oversee board and shareholder meetings, corporate authorizations, and company maintenance.
2. Legal & Compliance Coordination
- Act as the legal coordinator for:
- Compliance matters
- Policy and procedure (P&P) reviews
- Branch-wide legal projects
- Provide legal advice on regulatory compliance and internal governance.
3. Document & Contract Management
- Handle simple contract reviews and document comparisons.
- Draft and manage corporate authorization documents and general legal documents.
4. Administrative & Reporting Duties
- Manage legal filings, document processing, and report preparation.
- Handle court orders, third-party legal inquiries, and litigation reports.
- Oversee legal billing and external counsel engagement processes.
Skills & Experience Required:
- 8-10 years of experience in paralegal, corporate secretarial, or compliance roles.
- Strong understanding of Hong Kong corporate law, regulatory frameworks, and governance standards.
- Ability to draft and review legal documents independently.
- Excellent communication skills in English and Chinese.
- Experience working with law firms or in-house legal teams.
