Your New Company
My client is a prominent international financial services organisation with a legacy spanning over a century. With a strong presence across key markets globally, their operations in Asia include Hong Kong, Mainland China, India, Indonesia, Malaysia, the Philippines, Singapore, and Vietnam. As part of their continued growth, they are expanding their regional legal team and are currently seeking new legal counsel to join their well-established and dynamic team.
Your Role
Company Secretarial / Corporate Governance
- Provide expert legal advice on corporate governance matters
- Lead and manage subsidiary governance matters, including advising on best practices and changes in relevant laws and regulations.
- Lead liaison with the Corporate Secretary's Department and company secretaries of each Asian entity to monitor changes in the composition of boards and committees
- Identify and lead opportunities for consistency in governance practices across Asia
Commercial and Other Legal Services
- Provide technical legal advice and expertise to the Asia Regional Office
- Review, draft and advise on commercial contracts (or those with more complex legal issues)
- Conduct legal research and analysis of complex legal issues
- Provide strategic legal advice & direction on complex legal issues
Mergers and Acquisitions Support
- Provide strategic legal support on merger & acquisition matters, where necessary
- Lead or provide legal support on special projects (including but not limited to restructuring or reorganisation initiatives)
Regulatory
- Lead the tracking of monitoring changes in laws and regulations relevant to the business and provide analysis and strategic advice on risk trends and (as appropriate) develop plans for implementation.
- Conduct legal risk identification and assess the impact on all relevant arms of Asian businesses
Qualifications
- LLB or equivalent, at least 8 to 12 years PQE
- Legal experience (in-house or law firm) with a focus on corporate governance and commercial contracts
- Experience of providing corporate secretarial support to Asian legal entities
- Strong understanding of relevant Asian market corporate governance requirements with in-depth knowledge of best practices and regulatory frameworks
- Able to lead, engage and influence others with confidence, including with senior management, while building relationships across multiple areas of the business
- Understanding of current insurance industry issues and regulatory environment
- Some experience in supporting merger & acquisitions transactions in Asian markets
- Strong English and Chinese language skills
