Sourcing and Evaluating PIPE Opportunities
- Proactively identify and source investment opportunities in primary issuances and listed public companies via industry networks, sell-side relationships, and targeted market research.
- Screen opportunities for mandate fit, assessing company fundamentals, industry dynamics, catalysts, and capital needs.
- Prioritize targets exhibiting undervaluation, growth inflection, or strategic capital requirements.
Deal Structuring and Negotiation
- Partner with legal counsel, bankers, and company management to structure terms for primary and listed transactions (pricing, security type: common equity, convertible preferred, warrants), lock-ups, covenants, and governance rights.
- Negotiate definitive agreements (e.g., subscription agreements, registration rights agreements)
- Prepare and present investment theses, risk assessments, and mitigation strategies to the investment committee for approval.
Due Diligence and Financial Analysis​
- Lead due diligence on target companies, including financial statement analysis, cash flow modeling, competitive positioning, and management assessment.
- Build and refine detailed financial models to evaluate valuation, optimal entry points, pricing/discount terms, and conversion/warrant mechanics where applicable.
- Assess regulatory and legal considerations, including compliance with securities laws, disclosure requirements, shareholder approval thresholds, and listing rules.
Market Intelligence and Reporting
- Monitor macro trends, market volatility, sector flows, and regulatory changes affecting primary and listed markets, including norms on pricing/discounts, investor appetite, and disclosure requirements.
- Produce regular reports for investors and internal stakeholders covering pipeline, executed deals, portfolio performance, and market outlook.
Requirements
- Bachelors in Finance, Economics, Accounting, or related field; MBA & CFA is preferred.
- 7+ years of relevant experience in primary and listed investments, investment banking, private equity, or hedge funds focused on public companies.
- Deep knowledge of primary and listed deal mechanics, public company valuation methods, securities regulations, and deal documentation.
- Advanced financial modeling and data analysis skills; ability to synthesize complex quantitative and qualitative inputs into actionable insights.
- Strong negotiation capabilities and stakeholder management experience across public company executives, legal counsel, bankers, and investors.
