Legal counsel- Capital Market

Job Description:

 Provide legal services related to capital markets business (IBD, ECM, DCM) including drafting, reviewing, and negotiating contracts such as NDAs, engagement letters, placing letters, underwriting agreements, transaction letters, etc.

 Review and comment on operational documents, marketing materials, advertisements, and agreements to ensure compliance with applicable legal and regulatory requirements.

 Handle regulatory enquiries and conduct related investigations.

 Conduct compliance checks, reviews, and investigations.

 Perform conflict checks and staff dealing monitoring.

 Manage legal documentation filing, registration, and record keeping.

 Assist in managing and updating policies and procedures.

 Undertake other projects and tasks assigned by your supervisor, including litigation or dispute cases.

Requirement (Education/Experience/Qualification/Skills/License/Others):

 Bachelors degree in Law (LLB) and admission as a licensed lawyer, preferably with 5 years post-qualification experience (PQE).

 Experience gained in financial institutions or SFC-licensed corporations is preferred.

 Familiarity with legal and regulatory matters related to brokerage, capital markets, asset management, and general corporate and securities issues.

 Excellent interpersonal skills, fluency in written and spoken English and Mandarin.

 Strong research, writing, and analytical skills.

 Positive attitude, team-oriented, and able to work effectively under pressure.

 Attentive to detail.
