Main purpose of the role:

The candidate must have strong expertise in prime brokerage and equity/commodity derivative documentation, ideally with hedge fund experience, to join our legal team in Hong Kong. The successful candidate will play a key role in supporting our trading and client-facing businesses across APAC.

Duties & Responsibilities:
  • Advise on IPOs, secondary offerings, rights issues, and other ECM transactions.
  • Draft and negotiate prospectuses, underwriting agreements, and listing documents.
  • Liaise with regulators including the HKEX and SFC, ensuring compliance with listing rules and securities regulations.
  • Provide legal support on corporate governance, shareholder communications, and disclosure obligations.
  • Collaborate with internal stakeholders and external counsel to manage transaction timelines and deliverables.
  • Monitor regulatory developments and advise on implications for ECM activities.

Person specification:
  • Hong Kong or Commonwealth qualified lawyer with 5-8 years PQE.
  • Solid experience in ECM transactions, ideally gained from a top-tier law firm or in-house legal team.
  • Strong understanding of Hong Kong listing rules, securities laws, and corporate governance frameworks.
  • Excellent drafting, negotiation, and communication skills.
  • Fluent in English; Mandarin or Cantonese is a plus.
  • Proactive, detail-oriented, and able to manage multiple workstreams independently.
