About the role Our corporate practice is a dynamic part of our business. A large number of dual-qualified and multi-lingual lawyers handle complex cross-border transactional work through our international network of offices and correspondent firms that spans 120 countries. Our clients range from large foreign multinationals and regional corporations to fast-growing entrepreneurs and governments. Our corporate lawyers work across multiple offices as one team. This enables us to provide 24 hours services to our clients and gives our lawyers exceptional work experience on cross-border and cross-jurisdictional transactions.
Key responsibilities Key responsibilities include, but not limited to:
- Advise clients on Hong Kong law regulatory matters
- Advise clients on transactional matters such as cross-border and local joint ventures, in-bound and out-bound mergers and acquisitions, foreign direct investment, and commercial transactions
- Provide advice on corporate or management structures, shareholding, corporate governance and compliance matters
- Draft, review and comment on commercial contracts
- Conduct and prepare due diligence reports
- Draft and negotiate terms of agreements
- Communicate and liaise with clients and local counsels in other jurisdictions
- Manage client billing and practice group know-hows.
In addition, Hong Kong-qualified candidates will gain exposure to advising clients on matters relating to Hong Kong insurance regulations, while PRC law-qualified candidates will gain exposure to advising clients on matters relating to PRC insurance regulations.
Key skills and experience To be considered for this position, candidates should possess the following attributes and skills:
- 1-2 years PQE with solid experience in corporate and commercial matters
- Hong Kong law regulatory expertise - experience in corporate insurance (including insurance regulatory matters) will be a plus point
- Hong Kong qualified associate from a reputable law firm or in-house candidate with relevant experience
- Excellent drafting skills and critical thinking
- Excellent communication skills in both written and spoken English and Chinese (Mandarin or Cantonese).
