Overview

A leading international private equity firm is seeking an experienced Company Secretary to join its Hong Kong office. This high‑visibility role supports the General Counsel across corporate governance, regulatory compliance, and global entity management, offering exceptional exposure to cross‑border transactions and a fast‑paced investment environment.



Key Responsibilities

Corporate Governance & Secretariat

  • Manage statutory filings, corporate records, and registry compliance for HK and regional entities.
  • Prepare board materials, resolutions, minutes, and annual returns.
  • Support entity formation, restructuring, and ongoing lifecycle management.

Compliance & Regulatory

  • Handle regulatory submissions to SFC, Companies Registry, and other authorities.
  • Assist with compliance monitoring, internal policies, KYC/AML, and risk controls.
  • Coordinate with external counsel on transactions and ad hoc matters.

Stakeholder Engagement

  • Act as liaison with management, auditors, external advisors, and regulators.
  • Partner with deal and finance teams on governance and entity matters.


Qualifications

  • Degree in Law, Corporate Governance, Business, or related field.
  • HKICS/ICSA qualified (preferred).
  • 3-10 years' relevant experience in PE/asset management or law firm (MNC is not preferred)
  • Strong grasp of HK corporate and regulatory requirements; regional exposure a plus.
  • Detail‑oriented, proactive, and comfortable working independently in a lean team.
