Key Areas of Responsibilities
- Provide day-to-day legal support to investment banking team bankers primarily based in Hong Kong and countries in APAC
- Cover all types of Equity Capital Markets transactions, namely, IPOs (HK, US and elsewhere), blocks and placements, equity-linked product transactions and M&A advisory work (including public and private M&As)
- Review and negotiate various transaction documents, such as sponsor-OC mandate, third-party engagements, underwriting agreements, comfort packages, legal opinions as well as regulatory submissions
- Advise deal teams on various legal, regulatory, structural, reputational and other transaction-related issues
- Prepare and draft engagement letters, confidentiality agreements and other documents as needed and work on building up the firms templates and know-how.
- Maintain and enhance template agreements, standard forms, and internal legal know-how to improve efficiency and consistency across transactions.
- Collaborate closely with the Investment Banking Compliance team on regulatory matters, including securities laws, listing rules, and cross-border requirements.
- Monitor, interpret, and advise on emerging legal and regulatory developments in APAC capital markets that may impact the firms investment banking business.
Requirements
- Bachelor's degree or above in Law
- Minimum 2 years of post-qualification experience as a capital markets lawyer qualified in Hong Kong or U.S. or another major jurisdiction
- Possess solid HKIPO execution experience. Good knowledge of Hong Kong regulations (such as the SFO, HKEx listing rules, Takeovers Code and SFC Code of Conduct)
- Good knowledge of the regulatory framework applicable to investment banks in Hong Kong (in particular the SFC sponsor regime and OC-CMI regime)
- Being comfortable to handle and advise bankers of all levels. A partnerable team-player.
- Strong analytical and interpersonal organizational skills
- Excellent command of both English and Chinese
- Able to review and draft documents in Chinese is a must, conversational Mandarin is required
