What you'll do:

  • Manage the end-to-end legal process for various private M&A transactions, including conducting due diligence, drafting and negotiating core transaction documents, designing deal structures, and overseeing project management to ensure efficient and compliant closures.
  • Review, draft, and negotiate a wide range of contracts and legal agreements related to business operations, safeguarding company interests while maintaining strict adherence to regulatory requirements.
  • Provide advisory support on matters relating to the Securities and Futures Commission as well as other regulatory bodies, including continuous disclosure obligations, regulatory filings, and responding to official inquiries.
  • Support compliance reviews for sales activities, marketing campaigns, and product development initiatives in Hong Kong and other relevant jurisdictions to optimise business practices.
  • Conduct thorough risk control checks on business processes and operational workflows; perform detailed risk analysis and assessment to monitor key risk factors within the organisation.
  • Prepare comprehensive reports on regulatory breaches or potential risks identified during risk assessments, ensuring timely communication with relevant stakeholders.
  • Implement robust business continuity management processes designed to enable effective response and recovery from operational disruptions or emergencies.
  • Execute legal, compliance, and risk management functions as assigned by management or team leaders, contributing positively to communal goals.
  • Handle ad-hoc tasks related to legal affairs or risk control as required by the team head or senior management.
  • Collaborate closely with colleagues across departments to share knowledge, nurture inter-personal relationships, and support collective success.

What you bring:

  • LLB or JD plus Post-Graduate Certificate in Laws, demonstrating strong academic foundations in legal studies.
  • Admitted to practice law in Hong Kong with valid credentials recognised by local authorities.
  • At least two years of post-qualification experience (PQE) in corporate law gained from reputable law firms or financial institutions; solid practical experience handling Hong Kong private M&A transactions is preferred, and we are open to IPO candidates.
  • Excellent oral proficiency in English and Mandarin coupled with outstanding written skills; strong Chinese writing abilities enabling you to draft logically structured legal documents.
  • Self-motivated individual who adapts quickly to changing circumstances; demonstrates resilience when managing multiple tasks under tight deadlines.
  • Proven track record as a dependable team player who collaborates effectively within communal settings; nurtures positive inter-personal relationships across departments.
  • Ability to provide considerate advisory support on regulatory matters while maintaining sensitivity towards compliance requirements.
  • Experience conducting thorough risk analyses on business processes; capable of preparing comprehensive reports for management review.
  • Competence in implementing business continuity management processes that safeguard organisational stability during disruptions.
  • Willingness to handle ad-hoc assignments with enthusiasm; responds positively to requests from supportive leadership.
